You will indemnify and hold Ohloh, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising out of, resulting from or connected with the use, modification, misinterpretation, misuse, or reuse by you of the Site, the Materials, the Services, or Content, including without limitation these Terms.

These Terms are governed by the laws of the State of Washington and U.S. federal law, without regard to the choice or conflicts of law provisions. Any disputes relating to these Terms or the Site will be heard in the courts located in King County, Washington. If any of these Terms is found to be inconsistent with applicable to law, then such term shall be interpreted to reflect the intentions of the parties, and no other terms will be modified. Ohloh’s failure to enforce any of these Terms is not a waiver of such term. The Terms are the entire agreement between you and Ohloh and supersede all prior or contemporaneous negotiations, discussions or agreements between you and Ohloh about the Site. The proprietary rights, disclaimer of warranties, indemnities, limitations of liability and general provisions shall survive any termination of these Terms.
